Terms of Use

Please read this Terms of Use carefully. It describes important conditions that apply when You access and use ATP. Failure to comply with this Terms of Use might have legal consequences. This Terms of Use was last updated on 9th September 2021.

What is the purpose of this Terms of Use, and does it apply to me?
1. The purpose of this Terms of Use is to inform You about certain conditions that apply to the use of “ATP”, an online platform which facilitates the creation and administration of affinity schemes and which is made available to clients, carriers or third parties engaged by Willis Towers Watson Companies.
2. This Terms of Use will apply to You if You access or use ATP in any way. If You do not agree to this Terms of Use, You will not be allowed to access or use ATP.
3. This Terms of Use only governs Your access to and use of ATP. It does not otherwise alter any existing relationship between You and Willis Towers Watson or create any new relationship between You and Willis Towers Watson. Nothing in this Terms of Use affects any right or obligation You have under any applicable law (including the law of Your country).
4. For the purposes of this Term of Use:
  1. “Willis Towers Watson” means: "Willis Canada Inc", 130 King Street West, Exchange Tower, Suite 1500, P.O. Box 424, Toronto, ON M5X 1E3; "Willis Towers Watson Northeast, Inc.", 200 Liberty Street FL 7, New York, NY 10281; "Willis Towers Watson Southeast, Inc.", 26 Century Blvd, FL7, Nashville, TN 37214; "Willis of New Jersey, Inc.", 150 John F. Kennedy Parkway Suite 520 Short Hills NJ 07078-5002; "Willis Towers Watson Midwest, Inc.", 775 Yard Street, Suite 200, Columbus OH 43212; "Willis Towers Watson Insurance Services West, Inc.", 525 Market Street, Suite 3400, San Francisco CA 94105; and/or "Willis Towers Watson US, LLC", 800 North Glebe Road, Arlington VA 22203; and.
  2. “Willis Towers Watson Companies” means Willis Towers Watson PLC, whose registered address is at Elm Park, Merrion Road, Dublin 4, Ireland), and its subsidiaries and joint venture companies.
Who owns ATP?
1. ATP was developed by Willis Towers Watson and other Willis Towers Watson Companies. ATP is hosted on third party IT infrastructure (currently in the European Union in Microsoft Azure data centres) and is maintained by Willis Towers Watson Companies third party technology partners engaged by Willis Towers Watson.
2. All rights, titles, and interests in or to ATP (including copyright and other forms of intellectual property rights) are owned by Willis Towers Watson and/or other relevant Willis Towers Watson Companies and/or the relevant third-party licensors.
3. The use of ATP by You does not give You any right, title, or interest in or to ATP or any part thereof (including any data stored in it or otherwise processed through it), save for the limited right to access and use ATP in accordance with this Terms of Use. Any unauthorized use of ATP may violate copyright laws, trademark laws, patent laws, trade secret laws, or laws relating to privacy and publicity.

No part of ATP may be reproduced or transmitted in any form or by any means, electronic or mechanical, which includes but is not limited to facsimile transmission, photocopying, recording, rekeying or using any information storage or retrieval system, without express written permission from the copyright owner.

Who can use ATP?
1. You can access and use ATP only if You are an individual who has received a confirmation of registration and log-in details from Willis Towers Watson.
2. Willis Towers Watson will grant access to ATP only to those persons who:
  1. are employed or otherwise engaged by Willis Towers Watson, another Willis Towers Watson Company, a member of the Willis Global Retail Network, or a client of a Willis Towers Watson Company or a carrier or third party engaged by Willis Towers Watson; and
  2. have a genuine and legitimate business need to access ATP.
3. Willis Towers Watson may, in its absolute discretion, refuse to grant, or suspend, vary, or revoke any existing access privilege where Willis Towers Watson considers taking such steps to be necessary to protect the interests of Willis Towers Watson, the Willis Towers Watson Companies, or any client of a Willis Towers Watson Company.
4. Willis Towers Watson does not represent or warrant that ATP will be error-free, free of viruses or other harmful components, or that defects will be corrected. Willis Towers Watson does not warrant or represent that any information available on or through ATP will be correct, accurate, timely or otherwise reliable. Willis Towers Watson may make changes to ATP at any time.
5. Third-party content may appear on or be accessible from ATP. Willis Towers Watson is not responsible for and assumes no liability for any third-party content. ATP may provide access or links to other sites operated by third parties on the Internet. In each case, you are responsible for locating, reading and adhering to the terms of use of each third-party site you visit.
What are the conditions of use that apply to ATP?
1. You may use ATP only for the purpose of taking part in the creation, administration, and maintenance of affinity schemes that are sponsored by clients of a Willis Towers Watson Company, and other related activities You become involved in as part of Your job, all within the confines of access privilege that attach to Your user status.
2. You must keep Your log-in details secure and confidential. You must never share Your log-in details for ATP with anyone else.
3. You must not under any circumstance:
  1. disclose any information You obtain through ATP to anyone who is not involved in the same, relevant assignment(s) as You are, unless You are given a valid and lawful instruction to do so as part of You job;
  2. upload to or download from ATP any “protected health information”, “personally identifiable information”, “personal data”, or other like information concerning any individual customer, employee, or worker of any of a Willis Towers Watson Company’s clients unless You are given a valid and lawful instruction to do so as part of Your job;
  3. distribute, sell, rent, lease, assign, sub-license, transfer or in any other way dispose of ATP or Your log-in details for ATP to any third party;
  4. disassemble, decompile or otherwise attempt to reverse engineer ATP or any part of it, or otherwise attempt to derive or obtain any source code, structure, algorithms, process, technique, technology, know-how, or ideas underpinning or contained in ATP;
  5. modify ATP or merge all or any part of it into another program, or attempt to do so;
  6. copy, alter, use, modify or create derivative works of any portion or component of ATP, or allow, assist or permit others to do any of the foregoing; or
  7. circumvent or attempt to circumvent any security features of ATP, including by decoding any password, or decrypting encrypted data held or used by ATP.
4. As part of security measures that apply to ATP, Your access to and use of ATP will be subject to monitoring. Willis Towers Watson may at any time vary, suspend, or revoke Your access privilege if any suspicious or inappropriate behaviour is detected through such monitoring (also see Section 3.3 above).
5. Your use of ATP is subject to Willis Towers Watson’s Privacy and Cookie Policy, which is available on Willis Towers Watsons website.
6. These Terms of Use incorporate by reference any notices contained on ATP and the Privacy Policy. These terms constitute the entire agreement between you and Willis Towers Watson with respect to access to, and use of, the website. If any provision of these Terms of Use is unlawful, void or unenforceable, or conflicts with any other provision of the Terms of Use, then the unlawful, void, unenforceable or conflicting provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.
7. ATP is subject to change, and Willis Towers Watson reserves the right to update or revise ATP and its functionalities (or any part thereof) from time to time.
8. Willis Towers Watson reserves the right to investigate complaints or reported violations of the Terms of Use and to take any action Willis Towers Watson deems appropriate.
9. Whilst efforts will be made to keep ATP available and accessible at all times, there may be occasions when ATP becomes unavailable, for example whilst essential maintenance is carried out.
10. DISCLAIMER: NOTWITHSTANDING ANY TERMS OR CONDITIONS TO THE CONTRARY, ATP IS PROVIDED "AS IS", AND WILLIS TOWERS WATSON EXPRESSLY DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WILLIS TOWERS WATSON DISCLAIMS ALL RESPONSIBILITY FOR ANY LOSS, INJURY, CLAIM, LIABILITY OR DAMAGE OF ANY KIND RESULTING FROM, ARISING OUT OF OR ANY WAY RELATED TO: (A) ANY ERRORS IN OR OMISSIONS FROM ATP AND ITS CONTENT, INCLUDING BUT NOT LIMITED TO TECHNICAL INACCURACIES AND TYPOGRAPHICAL ERRORS; (B) ANY THIRD-PARTY WEBSITES OR CONTENT THEREIN DIRECTLY OR INDIRECTLY ACCESSED THROUGH LINKS IN ATP, INCLUDING BUT NOT LIMITED TO ANY ERRORS IN OR OMISSIONS THEREFROM; (C) THE UNAVAILABILITY OF ATP OR ANY PORTION THEREOF; (D) YOUR USE OF ATP; OR (E) YOUR USE OF ANY EQUIPMENT OR SOFTWARE OR WEBSITE IN CONNECTION WITH ATP. WILLIS TOWERS WATSON SHALL NOT BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY OR DAMAGE OF ANY KIND RESULTING FROM YOUR USE OF ATP. WILLIS TOWERS WATSON SHALL NOT BE LIABLE FOR ANY LOSS PROFITS, OR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ATTORNEYS' FEES), WHETHER IN TORT (INCLUDING NEGLIGENCE), CONTRACT, WARRANTY OR OTHERWISE, IN ANY WAY DUE TO, RESULTING FROM OR ARISING IN CONNECTION WITH THE USE OF OR INABILITY TO USE ATP. TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS PROHIBITED, WILLIS TOWERS WATSON SOLE OBLIGATION TO YOU FOR DAMAGES SHALL BE LIMITED TO $1,000.00 USD.
11. This Terms of Use may be amended from time to time to reflect changes in law or changes in business operation of Willis Towers Watson and/or other Willis Towers Watson Companies. This Terms of Use was last updated on 9th September 2021. You are responsible for regularly reviewing the Terms of Use. Continued use of ATP after any such changes constitutes your acceptance of such changes.
12. This Terms of Use and your use of ATP and any materials or information obtained through ATP are expressly made subject to any laws, regulations, orders or other restrictions which may be imposed by the Government of the United States of America on the transaction of business activities with certain countries or nationals or residents of certain countries. ATP and the information provided therein are not available to any Restricted Entity, which is defined to mean any individual or organization owned or controlled by, or acting as an agent for, any person or entity with whom a U.S. citizen, national, or company organized under the laws of or operating in the U.S. is prohibited from engaging in transactions by U.S. laws, including without limitation, a person on the Specially Designated Nationals List published by the U.S. Department of the Treasury's Office of Foreign Assets Control. You represent and warrant that neither you nor your organization is a Restricted Entity nor are you or your organization using ATP or the information provided therein on behalf of or for the benefit of a Restricted Entity.
13. You represent and warrant that you are duly authorized to accept this Terms of Use and legally bind your organization to this Terms of Use.
14. Governing Law
  1. If you are located in Canada: This Terms of Use and any claims relating to the content shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, excluding its conflict of law rules.
  2. If you are located in any other locations, including but not limited to the United States of America: This Terms of Use and any claims relating to the content shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflict of law rules.
